Terms of Service

1. Acceptance

By accessing or using Rap Song (including the Rap Song website, mobile experience, the AI Hotel Lobby Song Generator, Hotel Lobby AI filter, Migos AI song engine, and the vertical 9:16 booth duet renders, credit system, API, and any related services), you agree to be bound by these Terms of Service. If you do not agree, do not use Rap Song.

2. Description of the Rap Song service

Rap Song provides a software-as-a-service ("SaaS") platform that lets users:

• Upload two performer photos
• Enter a theme or concept
• Generate original lyrics in a Migos-style flow and Hotel Lobby-style song structures
• Produce an original beat
• Render a vertical 9:16 Hotel Lobby booth-style animates both performers trading bars inside an orange recording booth ("Hotel Lobby Song duet clip

We may modify, suspend, or discontinue features or all of Rap Song at any time, with reasonable advance notice when commercially practical.

3. Accounts and registration

You must be at least 13 years old (or the age of digital majority in your jurisdiction) to create a Rap Song account.

You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your Rap Song account.
• Notifying us immediately of any suspected unauthorized use or breach known to you by emailing support@rapsong.co.

We reserve the right to close, suspend, or throttle accounts at our discretion if we believe they violate these terms or facilitate fraud, abuse, or infringement.

4. Acceptable use of Rap Song

You agree you agree not to:

• Violate any applicable law or regulation in your jurisdiction.
• Upload, submit, distribute, or generate content that infringes any third party copyrights, trademarks, privacy, publicity, or other rights.
• Use Rap Song to generate deepfakes, non-consensual intimate imagery, harassment, defamation, discrimination, hate speech, or material depicting illegal acts without the explicit consent of everyone recognisable natural persons who appear in the output to persons.
• Attempt to gain unauthorised access Rap Song systems, accounts, servers, networks, associated services or to reverse-engineer, disassemble, decompile the Rap Song service or AI models except and only to the extent expressly permitted by applicable law notwithstanding this limitation.
• Interfere with or disrupt the integrity or performance of Rap Song or bypass any rate limits, security features, credit consumption mechanisms,
• Use Rap Song to send spam, malware, or any unlawful or harmful content.
• Resell, rent, lease, lend, transfer, sublicense all or part of the Rap Song service or access thereto to any third party or operate a service bureau or timeshare access thereto, or otherwise commercially exploit the access to Rap Song to third parties without our prior written consent.

5. User content & uploads and AI outputs

• You retain ownership of content you upload to Rap Song ("User Content"), including without limitation performer photos, themes, lyrics concepts, lyrics.

• Subject to these Terms, you grant Rap Song, its affiliates, sub-processors, and licensees a limited, non-exclusive, worldwide, royalty-free license to host, use, run, store, reproduce, process to process, modify, adapt, publish, transmit and distribute, transmit display publicly perform and display and distribute and display and to provide the User Content solely for the sole purpose of operating maintaining, improving, providing the Rap Song AI Hotel Lobby Song Generator servicing the Rap Song AI Hotel Lobby Song Generator servicing your requests, and to display publicly perform and display the Rap Song service as part of your account and to display publicly perform and display your outputs to the extent that you choose to display or share them publicly or render and to the extent necessary to comply with our legal obligations to to to to to,

6. Payment, billing, credits, and subscriptions

• Paid Rap Song features and features are billed in advance for the selected billing period (e.g., monthly or annual subscriptions, one-time credit top-ups ("Credit Packs"). You are responsible for providing accurate billing information.
• Subscriptions automatically renew unless explicitly cancelled before the next billing period begins, unless you cancel auto-renew auto-renewal via your Rap Song account settings or by contacting support@rapsong.co.
• Credits are consumed on a per-request basis as specified in the pricing and on the Rap Song pricing page and deducted at the time a successful AI inference or render completes successfully completes. Credits are non-refundable and non-transferable except as required by consumer-protection laws in your jurisdiction.
• Refund requests relating to subscriptions are evaluated case-by-case basis in line with our refund policy published on the Rap Song pricing page and applicable mandatory consumer law. Credits already consumed can generally not be refunded after successful AI inference or render requests successfully complete successfully complete. To initiate a refund, email support@rapsong.co within 14 days of the charge with your order details.

7. Intellectual property

Rap Song, the Rap Song logos, "Hotel Lobby AI filter" "Migos AI song" product copy, text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, computer code (collectively, the "Materials"), including but not limited to the design, structure, coordination, expression, "look and feel", and arrangement of such Materials contained on or available through Rap Song service is owned by or proprietary property of Rap Song team and is protected by copyright, trademark, trade dress patent and other intellectual property or proprietary rights laws. Nothing in these Terms grants you any right to use the Rap Song Materials other than the limited, revocable, non-exclusive right to access and use Rap Song during the service in accordance with these Terms.

8. Termination & account suspension

We may suspend terminate your access to all or any part of Rap Song at any time, with or without cause, with or without notice, effective immediately, including, if you breach or if we have a good faith belief that you have breached any provision of these Terms, or if we believe that your use of Rap Song creates risk of legal liability for us or other users, or infringes third parties.

9. DISCLAIMER OF WARRANTIES

RAP SONG IS PROVIDED "AS IS AS AVAILABLE. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT AND ANY WARRANTY THAT RAP SONG WILL BE UNINTERRUPTED, ERROR SECURE, OR FREE OF ERRORS, DEFECTS, VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY OUTPUTS WILL MEET YOUR REQUIREMENTS OR BE ACCURATE OR BE RELIABLE OR FREE OF INFRINGEMENT OF THIRD-PARTY RIGHTS. YOU ARE YOU ARE YOU ARE SOLELY RESPONSIBLE FOR THE USE OF RAP SONG BY YOU AND YOUR END-USERS, IF ANY, AND FOR ANY AND ALL CONSEQUENCES RESULTING THEREFROM.

10. LIMITATION OF LIABILITY

IN NO EVENT WILL RAP SONG, OUR AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING, WITHOUT LIMITATION, AN ACTION FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES) OR ANY OTHER PECUNIARY LOSS, EVEN FORESEEABLE OR NOT, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, RAP SONG OR ANY PART THEREOF, WHETHER THE FOREGOING LIMITATION OF LIABILITY SHALL NOT APPLY TO THE EXCLUSIONS OR LIMITATIONS THAT ARE NOT PERMITTED BY THE LAW OF YOUR JURISDICTION THAT DOES NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN SUCH EVENT, THE LIABILITY OF RAP SONG AND OUR AFFILIATES SHALL IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF RAP SONG AND OUR AFFILIATES TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF, OR ACCESS TO, RAP SONG WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL EXCEED THE GREATER OF (A) THE AMOUNTS ACTUALLY PAID BY YOU TO RAP SONG IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100 USD).

11. Changes to these Rap Song Terms of Service

We may modify these Terms of Service at any time. Material changes will be effective 30 days after we post the updated version and update the "updated_at" date at the top of this page. Your continued use of Rap Song after the effective date of the revised version constitutes acceptance of the revised terms. If you do not agree to the new terms, you must stop using Rap Song and, if applicable, cancel any subscription via Rap Song account.

12. Governing law & dispute resolution

Unless otherwise required by non-waivable consumer-protection laws of your jurisdiction of residence, these Terms shall be governed by construed in accordance with the laws of the jurisdiction in which Rap Song principal place of business is located, without regard to its conflict-of-laws principles.
